Description of Service:
StylePile is an online fashion community that allows you to upload and share your outfits and connect with other like minded people. It’s a way to express your personal style and explore the style of other fashionable people.

Eligiblity:
This Site is intended solely for users who are thirteen (13) years of age or older. The service is not available to persons under the age of thirteen (13) or to any users suspended or removed from the service by StylePile. Any registration by, use of or access to the Site by anyone under 13 or by users previously suspended or removed from the service, is unauthorized, unlicensed and in violation of these Terms of Service. By using the Service or the Site, you represent and warrant that you are 13 or older and that you agree to and abide by all of the terms and conditions of this Agreement.

Registration Data and Account Security:
With respect to the use of the site, you also agree to: (a) provide true, accurate, current and complete information about yourself as may be prompted by any registration forms on the site (the "Registration Data"): (b) maintain and promptly update the Registration Data, and any other information you provide to the company to keep it true, accurate, current and complete; (c) maintain the security of your account password and identification; and (d) be fully responsible for all use of your account and for any actions that take place using your account. StylePile cannot and will not be liable for any loss or damage arising from your failure to comply with these requirements.

User Conduct:
You hereby agree to represent and warrant that no materials of any kind submitted through your account or otherwise posted, transmitted, or shared by you on or through the Service will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libelous, defamatory or otherwise unlawful material. You understand that except for advertising programs offered by us on StylePile, the Service and the Site are available for your personal, non-commercial use only.

You also agree not to use the Site for the following:

• Post, upload, transmit, share, store or otherwise make available any content that is unlawful, fraudulent, harmful, threatening, defamatory, abusive, inflammatory, infringing, harassing, vulgar, obscene, libelous, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable;
• Use the Site in any unlawful manner or in any other manner that could overburden, damage, disable or impair the Site;
• Register for more than one User account, register for a User account on behalf of an individual other than yourself, or register for a User account on behalf of any group or entity;
• Impersonate any person or entity, or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity;
• Use or attempt to use another user’s account, service or system without authorization from the Company, or create a false identity on the Service or the Site;
• Use the Service to solicit users directly for commercial purposes by harvesting or collecting email addresses or other contact information of other users from the Service or the Site by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;
• Upload, post, transmit, share or otherwise make available any unsolicited or unauthorized advertising, solicitations, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
• Post , upload, share, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;
• Post , upload, transmit, share, store or otherwise make publicly available on the Site any private information of any third party; including, addresses, phone numbers, email addresses, Pan numbers, bank account numbers, Social Security numbers and credit card numbers;
• Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;
• Upload, post, transmit, share or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
• Post, upload, transmit, share, store or otherwise make available content that, in the sole judgment of Company, is objectionable or which restricts or inhibits any other person from using or enjoying the Site, or which may expose Company or its users to any harm or liability of any type;
• Intimidate, stalk or otherwise harass another;
• Solicit personal information from anyone or solicit passwords or personally identifying information for commercial or unlawful purposes;
• Post , upload, transmit, share, store or otherwise make available content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law

User Content:
You own all of the content and information you post on StylePile. You are solely responsible for all the profiles (including your name, image, and likeness), photos, messages, notes, text, music, video, advertisements, listings, and any other content that you upload, publish or display (hereinafter, "post") on or through the Service or the Site, or transmit to or share with other users (collectively the "User Content").

You may not post, transmit, or share User Content on the Site or Service that you did not create or that you do not have permission to post. You understand and agree that the Company may, but is not obligated to, review the Site and at its sole discretion may delete or remove (without notice) any Site Content or User Content, for any reason or no reason, including User Content that in the sole judgment of the Company violates the TOS or which might be otherwise objectionable, offensive, illegal, fraudulent or that might harm, violate the rights or threaten the safety of users or others.

You are solely responsible at your sole cost and expense for creating backup copies and replacing any User Content you post or store on the Site or provide to the Company.

International Use:
Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the country in which you reside.

Content Submission:
StylePile does not claim ownership of Content you submit or make available for inclusion on the Service.  However, in order to display materials you provide on the Service and elsewhere, we need your permission.  As such, by uploading, emailing, posting, publishing or otherwise transmitting Content to any online forum or other feature of the Service, or by submitting any Content or feedback (including, without limitation, suggestions, complaints, ideas, results, modifications, improvements, translations, discoveries and observations) to StylePile (“Submissions”) by any means, you grant StylePile a worldwide, royalty-free, fully paid up, non-exclusive, sub licensable, right and license to use, reproduce, modify, adapt, create derivative works of, perform publicly, display publicly, distribute, publish, and transmit such Submissions, including any and all publicity rights therein, in any form, medium, or technology now known or later developed, provided that:

1. With respect to the Submissions that you make available for inclusion solely in the areas of the Service which are not publicly accessible, such license shall be limited to the sole usage for the purpose for which the Content was provided; and
2. With respect to Submissions you make available for inclusion on publicly accessible areas of the Service, other than text.  StylePile’s license shall terminate at the time you remove or StylePile removes such Content from publicly accessible areas of the Service, but any sublicenses previously granted by StylePile to third parties shall endure; and
3. With respect to Submissions of text, the license shall be perpetual and irrevocable; and
4. Any exercise of rights granted under this section shall be subject to all restrictions stated in our Privacy Policy.

"Publicly accessible" areas of the Service are those areas of the StylePile network of properties that are intended by StylePile to be available to the general public. By way of example, publicly accessible areas of the Service would include StylePile Message Boards and portions of StylePile blogs, and Photos that are open to both members and visitors.

Contributions To StylePile:
By submitting ideas, suggestions, documents, and/or proposals ("Contributions") to StylePile through its suggestion or feedback web pages, you acknowledge and agree that: (a) your Contributions do not contain confidential or proprietary information; (b) StylePile is not under any obligation of confidentiality, express or implied, with respect to the Contributions; (c) StylePile shall be entitled to use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any way, in any media worldwide; (d) StylePile may have something similar to the Contributions already under consideration or in development; (e) your Contributions automatically become the property of StylePile without any obligation of StylePile to you; and (f) you are not entitled to any compensation or reimbursement of any kind from StylePile under any circumstances.

No Resale Of Service:
You agree not to copy, reproduce, duplicate, sell, resell, trade, or exploit, any portion of the Service (including your StylePile ID), use of the Service, or access to the Service for any commercial purposes.

General Practices Regarding Use And Storage:
You acknowledge that StylePile may establish general practices and limits concerning use of the Service, including without limitation the maximum number of days that email messages, message board postings or other uploaded Content will be retained by the Service, the maximum number of email messages that may be sent from or received by an account on the Service, the maximum size of any email message that may be sent from or received by an account on the Service, the maximum disk space that will be allotted on StylePile's servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Service in a given period of time. You agree that StylePile has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Service. You acknowledge that StylePile reserves the right to log off, delete, or disable accounts that are inactive for an extended period of time. You further acknowledge that StylePile reserves the right to modify these general practices and limits from time to time.

Third-Party Sites, Products And Services, Links:

1. Other Users. Your correspondence or interaction with, or participation in activities with, other users found on or through the Service are solely between you and such user.  While StylePile strives to foster a supportive community which helps reputable and competent people help each other, you acknowledge and agree that we are not responsible for the availability, quality, or performance of goods or services promised by other users, and we do not endorse and are not responsible or liable for any Content, advertising, representations, opinions, advice, services, products, or other materials that you may receive through such contacts.  You should use your ordinary care and common sense when evaluating the wisdom, safety, and prudence of engaging in particular communications or other activities with site users, either through the Service, elsewhere online, or offline.  YOU AGREE THAT StylePile WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGE OF ANY SORT INCURRED AS THE RESULT OF ANY SUCH DEALINGS OR AS THE RESULT OF THE PRESENCE OR ACTIVITIES OF SUCH USERS ON OR IN CONNECTION WITH THE SERVICE.

Modifications To Service:
StylePile reserves the right at their sole discretion, at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice, including charging or ceasing to charge subscription fees to some or all users for some or all services. You agree that StylePile shall not be liable to you or to any third party for any such modification, suspension or discontinuance of the Service or of any fees associated with it.

Termination:
StylePile reserves the right, at our sole discretion to refuse or terminate the service, including your membership and to delete or discard any information associated with your membership with or without any notice, for any given reason or no reason including if it believes that you are under 13. StylePile will not be liable to you for termination of your membership to its services. Membership in the Service is void where prohibited.

STYLEPILE ALSO DISCLAIMS ANY RESPONSIBILITY FOR ANY WARRANTIES FOR SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON STYLEPILE AS WELL AS FOR ANY INFORMATION OR ADVICE RECEIVED THROUGH ANY LINKS PROVIDED ON THE STYLEPILE WEBSITE. Stylepile's Proprietary Rights:
You acknowledge and agree that the Service and any necessary software used in connection with the Service, including without limitation any Artwork, member accounts or user IDs, markup, source or object code used in connection with the Service, or visual art and any combination thereof (all of the foregoing, collectively, the "Materials") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or by advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly permitted by applicable law or authorized by StylePile or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Materials, in whole or in part.

StylePile grants you a personal, non-transferable and non-exclusive right and license to use the Service, including any executable software on a single computer; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work from, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You agree not to modify the Materials in any manner or form, and not to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Service.

Indemnity:
You agree to indemnify StylePile and its affiliates, subsidiaries, employees, agents, representatives, licensees and licensors and third party service providers, and to defend and hold each of them harmless, from any and all claims and liabilities (including attorneys fees) which may arise from the content you submit, post, upload, transmit or otherwise make available through the Service, from your unauthorized use or misuse of the site and its services, your violation of the TOS, or your violation of any rights of another.

User Disagreements:
You alone are responsible for your involvement and interaction with other users.  StylePile reserves the right, but has no obligation, to monitor disagreements between you and other users. If you have a dispute with one or more users, you irrevocably and forever release StylePile (and StylePile 's officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

Reporting Copyright and Other Intellectual Property Violations:
StylePile undertakes to obey all relevant copyright laws. We will review all claims of copyright infringement, as well as other intellectual property violations, we receive. StylePile reserves the right to disable and/or terminate the accounts of users who are found guilty of infringement. If you are a copyright holder and believe that any content available through the Service infringes your rights, or your intellectual property rights have been otherwise violated, please submit the following details:

1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site.

General Information
These Terms of Use constitute the entire agreement between you and Company regarding the use of the Site and/or the Service, superseding any prior agreements between you and Company relating to your use of the Site or the Service. The failure of Company to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision in that or any other instance. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. If any provision of these Terms of Use shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.
